A proposed member-owned cooperative in British Columbia

Buy local businesses together.

Members pool a monthly contribution, buy established local businesses and decide together. One member, one vote.

Free to join. No payment is taken. Membership opens [OPENING DATE].

How it works

Three things members do.

01

Join

You'll buy one $1 membership share and pick a monthly contribution tier. Every tier will get the same single vote.

02

Contribute

Your monthly contribution will join the members' pool, held in the cooperative's own accounts and recorded to the cent.

03

Decide

Members will elect the Board and vote on the decisions the rules reserve for them. The Board will buy businesses only after a documented review.

Membership

Pick what you contribute. Your vote stays the same.

Can you change tier later? Yes Yes Yes

Tiers will set how much you contribute each month. They won't change your vote, your access or how you're treated. Contributions will be member capital and will be at risk.

The businesses we own

No windows are lit yet.

Each lit window on our street stands for a business members own. We light one only when a purchase closes.

Before any money moves, every deal will go through a documented review:

  • 01Finances, tax and the quality of earnings
  • 02Legal, contracts, leases and licences
  • 03People, operations and customers
  • 04A red-flag check that can stop the deal
  • 05Sign-off by the deal lead, advisers and Compliance Officer, then the Board, and members where the rules require it

Your money

Every dollar has a place and a record.

The co-op's own accounts

Contributions will go only into approved accounts in the cooperative's name. Never a person's account.

Recorded to the cent

Each payment will be logged with who paid, when, how much and why. You'll be able to see your own record any time.

Two people approve

Material payments will need two approvers. The person who asks for a payment won't be able to approve it alone.

Reported to members

The Board will report regularly, and an auditor will review the books each year.

Please read this. Contributions will be member capital. They'll be at risk, they won't be deposits and they won't be guaranteed. You'll be able to withdraw only as the cooperative's policies allow, and repayment can be deferred or limited.

These are commitments in our draft By-Laws and policies, which may change before membership opens.

Questions people ask

Is this an investment?

It's membership in a cooperative. You contribute capital the members use together to buy and run businesses. There's no promised return, no set rate and no date when you get money back.

Can I get my money back?

You'll be able to ask to withdraw. Repayment won't be on demand: the cooperative may defer, limit or decline it to stay solvent and keep its reserves, and anything you owe the co-op will be settled first.

Does a higher tier get more say?

No. Every member will have one vote. Founding members won't get extra votes either.

Who runs the cooperative?

A Board of five directors elected by members. The Board will set budgets, approval limits and policies, and name officers, including a Treasurer and a Compliance Officer.
